Terms of Use
These Terms of Use (“Terms”) govern your use of thesuperiorcircle.com (the “Site”), operated by The Superior Circle LLC, a Wyoming limited liability company (“The Superior Circle,” “we,” “us” or “our”). By using the Site or submitting a request for an invitation, you agree to these Terms. If you do not agree, please do not use the Site.
1. About the Circle
The Superior Circle is a private, invitation-only community. The Site provides information about the Circle and a way to request an invitation. Membership itself, if offered, is governed by a separate member agreement and code of conduct, which you will be asked to accept before joining. If those documents conflict with these Terms, they control with respect to membership.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Site or request an invitation.
3. Requests for an invitation
- Submitting a request does not create membership, a contract for membership, or any obligation on either side.
- Admission is at our sole discretion. We are not required to give reasons for any decision.
- There is no fee to request an invitation, and no payment can secure or accelerate admission.
- You agree that the information you provide is accurate and your own, and that you will not submit a request on behalf of someone else without their permission.
- You authorize us to review the information you provide and publicly available information about you, as described in our Privacy Policy, for the purpose of considering your request.
4. Nominations
Nominations are personal to the member who makes them. They cannot be sold, bought, traded or transferred. Any attempt to do so may result in the rejection of a request or the end of a membership.
5. Acceptable use
You agree not to: use the Site unlawfully or to infringe anyone’s rights; attempt to gain unauthorized access to the Site or related systems; interfere with the Site’s operation, including by introducing malicious code or automated traffic; submit false, misleading or spam requests; or impersonate The Superior Circle, its members or its team.
6. Intellectual property
The name “The Superior Circle,” the emblem, and the Site’s text, design and graphics are owned by or licensed to The Superior Circle LLC and are protected by law. You may view and share links to the Site for personal, non-commercial purposes. You may not otherwise copy, modify or use them without our written permission.
7. Privacy
Our Privacy Policy explains how we handle personal information and forms part of these Terms.
8. Third-party links and services
The Site may link to or rely on services operated by others. We are not responsible for their content, policies or practices.
9. Disclaimers
The Site is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Descriptions of the Circle on the Site describe our intentions and practices and may change as the Circle develops. Nothing on the Site is financial, investment, legal or tax advice.
10. Limitation of liability
To the fullest extent permitted by law, The Superior Circle LLC and its managers, members, team and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or goodwill, arising from or related to your use of the Site. Our total liability for any claim relating to the Site will not exceed one hundred US dollars (US$100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
11. Indemnity
You agree to indemnify and hold harmless The Superior Circle LLC and its managers, members, team and agents from claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of the Site.
12. Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law rules. Any dispute relating to these Terms or the Site will be brought in the state or federal courts located in Wyoming, and you consent to their jurisdiction, except where the law of your place of residence gives you the right to bring proceedings elsewhere.
13. Changes
We may update these Terms from time to time. The updated version will be posted here with a new date. Continued use of the Site after changes take effect means you accept them.
14. General
If any provision of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a reorganization or sale.
